Terms & Conditions

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract under the Indian Contract Act, 1872. If you use the Services on behalf of a business, you represent that you are authorised to bind that business to these Terms.

2. The Services

SellerPartnerr is a multi-channel e-commerce platform. Features are released in stages and are currently offered at differing levels of availability:

• Listing Audit (Live) — a 0–100 listing score with AI-generated suggestions for title, bullets, images and keywords.
• One-Click Listing & Sync (Coming soon) — publishing and syncing listings across marketplaces.
• PPC, Keyword Research & Best-Seller Research (Beta) — advertising and research tools offered on a preview basis.
• Hire an Expert — onboarding, registration, GST/legal setup and growth assistance delivered by vetted specialists.

Features marked “Beta” or “Coming soon” may change, be limited, or be withdrawn without notice and are provided without warranty of any kind.

3. Accounts & Security

• You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
• You are responsible for all activity that occurs under your account.
• Notify us promptly at support@sellerpartnerr.com of any unauthorised use or security breach.

4. Marketplace Connections

Certain features require you to connect a third-party marketplace account (such as Amazon or Flipkart) through an authorised integration. By connecting an account you authorise us to access and process the relevant data to deliver the features you request. Your use of each marketplace remains subject to that marketplace’s own terms and policies, and you are responsible for complying with them. We are not affiliated with, endorsed by, or acting as an agent of any marketplace unless expressly stated.

5. AI-Generated Content

Audit scores, suggestions and other outputs are generated using automated and AI systems and are provided for guidance only. We do not guarantee improved rankings, sales, conversions, or compliance with any marketplace’s policies. You are solely responsible for reviewing, editing and approving any content before publishing it to a marketplace.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful, infringing, deceptive or harmful purpose.
• Submit content you do not have the right to use, or that violates a marketplace’s policies or any third party’s rights.
• Attempt to gain unauthorised access to, disrupt, reverse-engineer, scrape or overload the Services or their infrastructure.
• Resell, sublicense or commercially exploit the Services without our written consent.
• Upload malware or interfere with the security or integrity of the platform.

We may suspend or terminate accounts that violate these Terms.

7. Fees & Payment

The listing audit is currently offered free of charge. Paid plans and features may be introduced in the future; applicable pricing, billing cycles and payment terms will be presented to you before you incur any charge. Fees, once disclosed, are payable in Indian Rupees unless stated otherwise and are subject to applicable taxes. Refunds, where available, are governed by our Refund Policy.

8. Intellectual Property

The Services, including all software, design, text, graphics and the SellerPartnerr brand, are owned by or licensed to Avyan Ventures and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes. You retain ownership of the content and data you submit, and grant us a licence to process it solely to provide the Services.

9. Third-Party Services

The Services may rely on or link to third-party services. We are not responsible for the content, policies or practices of any third party, and your use of them is at your own risk and subject to their terms.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, accuracy or non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that any result — including ranking, sales or conversion improvement — will be achieved.

11. Limitation of Liability

To the maximum extent permitted by law, Avyan Ventures shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Services. Our total aggregate liability for any claim shall not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim, or INR 5,000, whichever is greater.

12. Indemnity

You agree to indemnify and hold harmless Avyan Ventures and its directors, employees and partners from any claims, damages, losses or expenses (including reasonable legal fees) arising from your use of the Services, your content, or your breach of these Terms or applicable law.

13. Suspension & Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us, or where required by law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — will survive.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any applicable arbitration agreement, the courts of Pune, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

15. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” above reflects the latest version, and material changes will be notified through the Services or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.
